Annual Confirmation Statement

It is worth noting that in addition to companies actively conducting business, dormant companies and non-trading companies must also submit at least one annual confirmation statement each year to confirm that the information held by Companies House is up to date. Even if there have been no changes during the review period, you are still required to submit the confirmation statement.

Filing Period

You must submit at least one confirmation statement every 12 months. Your 12-month filing period begins on either of the following dates:

  • The date your company was incorporated

  • The date you submitted your last confirmation statement

You must file the confirmation statement within 14 days after the end of the filing period. Failure to file on time or failure to submit the confirmation statement at all may result in financial penalties from Companies House, and your company may be forcibly struck off (dissolved).
